Arisinfra Solutions to Raise Stake in Buildmex-Infra to 92% for Rs 60 Crore

Mumbai, September 28, 2026: Arisinfra Solutions Limited announced an agreement to acquire an additional 16% stake in its material subsidiary, Buildmex-Infra Private Limited, elevating its total ownership to 92%. The transaction involves purchasing 16,000 equity shares for a consideration of Rs 60 crore and is scheduled for completion by September 30, 2026, Arisinfra Solutions said in a press release.

Buildmex-Infra Private Limited procures, trades, and distributes construction materials for infrastructure and real estate projects. The company has emerged as one of the fastest-growing entities within the parent group, reporting revenue growth from Rs 17.93 crore in FY24 to Rs 70.36 crore in FY25, and reaching Rs 179.03 crore in FY26.

The increased stake allows Arisinfra Solutions Limited to capture a larger share of the subsidiary’s economic value during its expansion phase while strengthening alignment across its construction materials platform. The acquisition will not reduce the overall cash position of the company, as trade deposits and advances are expected to decrease by a corresponding Rs 60 crore.

The transaction has been structured thoughtfully, so it strengthens our position without affecting our ability to invest in growth.”

The acquisition is being conducted with an existing minority shareholder of Buildmex-Infra Private Limited and does not qualify as a related party transaction.
