Capital Infra Trust Seeks Unitholder Approval for Acquisition of Six Road Assets

New Delhi, August 27, 2026: Capital Infra Trust has announced that its investment manager, Gawar Investment Manager Private Limited, has issued a Postal Ballot Notice seeking unitholder approval for four key resolutions, including the proposed acquisition of six road asset special purpose vehicles.

According to a press release, the Board of Directors of the investment manager approved the notice on August 17, 2026, and dispatched it electronically to unitholders recorded in depository files as of the August 14 cut-off date. KFin Technologies Limited has been appointed to facilitate the remote electronic voting process, which opened on August 18 and closes on September 9 at 5:00 P.M. IST. Voting results are scheduled to be announced on or before September 11.

Commentary from management underscored the strategic intent behind the proposed transactions. Hare Krishna, Chief Executive Officer of Capital Infra Trust, stated that this postal ballot marks an important step in Capital Infra Trust’s growth strategy. He added that the proposed acquisition of these six road assets strengthens the portfolio and aligns with the long-term vision of building a diversified, high-quality infrastructure platform for unitholders, noting that leadership looks forward to their continued support as the resolutions are put to vote.

The primary resolution seeks simple majority approval to acquire 100% equity share capital across six entities: Gawar Bhiwani Highway Private Limited, Gawar Kangra Highways Private Limited, Gawar Pathankot Mandi Highway Private Limited, Gawar Udaipur Highway Private Limited, Gawar Waranga Highways Private Limited, and Gawar Rudrapur Highway Private Limited. Three additional resolutions requiring special majorities pertain to expanding borrowing limits and asset charging, raising capital through institutional placement or debt, and executing a preferential issuance of units to sponsor Gawar Construction Limited for an aggregate consideration of up to Rs 1,24,99,92,800.

Independent oversight of the voting process will be handled by Vaibhav Dandawate or Deepti Kulkarni, Partners at Makarand M. Joshi & Co., who have been appointed as scrutinizers. Following verification, the final results and scrutinizer report will be filed with the National Stock Exchange of India Limited and BSE Limited, as well as published on the trust’s official website and voting portal.
